Jennifer’s practice emphazises the defense of companies, directors and officers in complex litigation matters pending in federal and state courts, often involving a broad array of challenging corporate and commercial issues, including efforts to enjoin mergers and acquisitions, fiduciary duty challenges, shareholder disputes, consent solicitations, breach of contract actions, and SEC investigations and enforcement actions.

Additionally, Jennifer frequently provides advice on Delaware corporate governance law, including director and officer conduct. She sits on the board of editors of a leading treatise in the field, Folk on the Delaware General Corporation Law.

Most recently, Jennifer’s representations have included:

  • DRS Technologies and its directors and officers – defeated a shareholder effort in New Jersey State Court to enjoin a $5.2 billion merger involving an Italian acquiror of a U.S. defense contractor and secured a dismissal with prejudice of all claims against the company and its officers and directors;

  • Schottenstein Stores Corporation – provided corporate advice to a multibillion-dollar family business and defended it and its network of affiliates in various litigations in Ohio and Delaware;

  • The Coca-Cola Company – won a motion to dismiss shareholder derivative lawsuits challenging the company’s relationship with its primary bottler and provided corporate governance advice; and

  • CEO of a mutual fund investment adviser – defended against “market timing” claims brought by the SEC, the New York State Attorney General’s Office and securities class action plaintiffs.

Other representations include EMC Corporation (defending against class action claims in connection with an acquisition); Cendant Corporation (prosecuting fraud and contract claims arising from the termination of a stock purchase agreement); Rite Aid Corporation (defending the company in connection with the SEC’s investigation of accounting fraud); Schick Technologies (defending against plaintiffs’ efforts to enjoin an alleged “change of control” transaction); Cantor Fitzgerald, L.P. (defending the partnership in connection with contract and limited partnership disputes); and AMP (defending Australia’s leading wealth management advisor in litigation arising from the bankruptcy of a U.S. telecommunications firm).
