Paul J. Lockwood represents business entities and individuals in corporate and securities litigation in the Delaware Court of Chancery and in federal and state courts throughout the country.

He has defended corporations, their directors or their advisers in derivative and class action lawsuits relating to accounting misstatements, sales practices, executive compensation and options practices, proxy contests, public offerings and transactions concerning the sale of a company or its assets. Mr. Lockwood also has handled disputes concerning non-competition agreements and trade secrets. Mr. Lockwood’s recent representations include, among others:

  • Merrill Lynch & Co., Inc. and its affiliates in numerous lawsuits, including securities, derivative and ERISA lawsuits arising out of losses suffered from subprime mortgage-related investments; securities and derivative lawsuits arising out of Merrill Lynch’s auction rate securities sales practices; lawsuits arising out of Merrill Lynch’s strategic investment in the Philadelphia Stock Exchange, Inc.; and lawsuits arising out of the merger between Merrill Lynch and Bank of America Corporation;

  • MacAndrews & Forbes Holdings Inc. and certain of its officers, directors and affiliates in three lawsuits alleging breach of fiduciary duty claims arising out of the bankruptcy of Marvel Entertainment Group, Inc.;

  • McKesson Corporation in numerous state and federal lawsuits asserting claims of securities fraud or breach of fiduciary duty arising out of McKesson’s restatement of its historical financial statements;

  • Deloitte LLP in a lawsuit against a former partner seeking damages for his violations of Deloitte’s policies and for breaches of fiduciary duties;

  • Royal Bank of Canada in connection with a lawsuit and an arbitration relating to the sale of auction rate securities; and

  • HDS Investment Holdings, Inc. in a lawsuit and an arbitration relating to post-closing disputes arising out of the purchase of HD Supply from the Home Depot, Inc.

Mr. Lockwood frequently provides advice on issues of corporate governance, the federal securities laws and Delaware corporation law.
