Douglas E. Nordlinger represents clients in a broad array of corporate, commercial and finance-related transactions, with a particular emphasis on the energy industry and other infrastructure projects. In the course of his more than 27 years practice on matters throughout the world, he has advised clients in connection with mergers and acquisitions, joint ventures, structured and project financings, commercial agreements, project developments, dispute resolutions and regulatory matters.
Mr. Nordlinger has represented buyers and sellers of companies and assets; developers of electric power and other infrastructure projects in Europe, Asia, Africa and the United States; developers of natural gas pipeline projects in the United States, Asia and South America; an oil refinery seeking to expand its facilities in Europe; an integrated, state-majority owned oil company in Europe in a partial privatization; and the developers of and lenders to liquified natural gas facilities.
In addition to his transactional practice, Mr. Nordlinger has represented clients before regulatory agencies, including the U.S. Federal Energy Regulatory Commission, related to the energy industries and before U.S. courts, including the United States Supreme Court. Mr. Nordlinger also has counseled clients in matters before the Office of Gas and Electricity Markets in the United Kingdom.

- a subsidiary of the Vitol Group in connection with its announced public offer to acquire all of the shares of Arawak Energy Limited that it does not already own;
- Vimetco N.V. in its acquisition of Global Aluminum Limited, a manufacturer of aluminum based in Sierra Leone, from Titanium Resources Group, Ltd.;
- NTR plc in its acquisition of control of Stirling Energy Systems, Inc., a U.S. solar power company;
- Christofferson, Robb & Co. in various transactions including in:

Airtricity, Inc., a developer of wind energy projects, in its €1.8 billion acquisition by Scottish & Southern Energy Plc;
- Airtricity Holdings Limited, in the sale of its North American renewables energy business to E.ON AG for an enterprise value of US$1.4 billion. This transaction was the second largest M&A transaction within the renewable energy sector in 2007;
- Energias de Portugal, S.A. in its US$2.9 billion acquisition of Horizon Wind Energy LLC in the United States – the largest renewables energy M&A transaction in 2007. As a result of the Horizon acquisition, Skadden was named “Renewables Legal Adviser of the Year” at the Euromoney and Ernst & Young Global Renewable Energy Awards 2007, which recognised the projects, companies and individuals who have made a significant contribution to the renewable energy sector;
- Louis Dreyfus Energy Holdings Limited in its sale of a refinery in Germany; and
- a client in connection with the restructuring of group loan facilities in the context of the current recessionary economic environment.
Mr. Nordlinger has represented a client in connection with the acquisition of electric power plants in Asia. He represented clients in connection with the sale of the Damhead Creek power station in England and the sale of interests related to the production of natural gas in Indonesia. He also has represented clients in connection with:
- the sale of electric power facilities in South Asia and the Persian Gulf;
- the refinancing of an LNG liquefaction facility in Trinidad;
- the financing of a bauxite mine expansion project in Russia; and
- the acquisition of aluminum production facilities and projects in Australia and Romania.
In addition, Mr. Nordlinger represented a client in connection with potential litigation arising out of activities carried out in Iraq prior to and after the hand-over of sovereignty in 2004.
As a result of his wide-ranging practice in transactions, litigation and regulatory matters, Mr. Nordlinger has been involved in the types of strategic, economic policy, environmental and antitrust issues that frequently arise in a broad spectrum of international transactions and other matters.
