Richard B. Aftanas represents investment banks and U.S., Canadian and other international issuers in a wide variety of public and private finance transactions. Mr. Aftanas has worked on numerous initial public offerings and other public and private equity and equity-hybrid securities offerings, as well as high-yield, investment grade and tax-exempt debt offerings. Mr. Aftanas also advises U.S. and international clients with respect to corporate and securities law matters, as well as debt tender offers, exchange offers and other refinancing transactions. Significant recent transactions include:
- CIT Group Inc. in connection with its prepackaged bankruptcy (the largest prepackaged bankruptcy solicitation ever), which included the issuance of approximately $23.2 billion of secured high-yield bonds;
- Bank of America Merrill Lynch and Morgan Stanley & Co. Incorporated as joint bookrunning managers in the approximately $2.1 billion initial public offering of Verisk Analytics, Inc., the largest U.S. initial public offering since March 2008;
- RailAmerica, Inc., in its $330 million initial public offering and a $740 million secured high-yield offering;
- Morgan Stanley & Co. Incorporated as sole underwriter in a $1.2 billion secured high-yield offering by subsidiaries of Crown Castle International Corp. (CCIC), and the underwriters in two high-yield offerings by CCIC with total proceeds aggregating $1.4 billion;
- DigitalGlobe, Inc., in its $279 million initial public offering and a $355 million secured high-yield offering;
- The Coca-Cola Company in notes offerings with total proceeds aggregating $4 billion; and
- Scripps Networks Interactive, Inc. in the offering by TCM Sub, LLC, a joint venture between SNI and Cox Communications, Inc. which owns the Travel Channel, of $885 million of senior notes.
