Ingrid Vandenborre joined the firm’s European Union and international competition law practice in 1999. She has worked on EU and other non-U.S. merger control issues, including coordinating antitrust merger control approvals in numerous jurisdictions outside the United States and in a wide range of industries such as pharmaceuticals, travel services, chemicals, computer hardware, semiconductors, telecommunications, insurance and consumer goods.
Recent representative highlights include:
- Applera Corporation in the US$6.7 billion sale of Applied Biosystems to Invitrogen Corporation;
- Basell in its US$19 billion acquisition of Lyondell Chemical Company;
- Travelport in its US$1.4 billion acquisition of Worldspan Technologies Inc.;
- UCB in its US$5.6 billion acquisition of Schwarz Pharma;
- Alcatel in its US$12.4 billion merger with Lucent;
- Cendant Corporation in its US$4.3 billion sale of its Travelport unit to the Blackstone Group;
- Access Industries in its €4.4 billion acquisition of Basell B.V. from BASF AG and the Royal Dutch/Shell Group; and
- Acetex in its US$492 million acquisition by Blackstone Crystal Holdings Capital Partners.
Ms. Vandenborre has experience in Article 101 (formerly 81) issues in relation to strategic alliances, distribution arrangements, intellectual property licenses and other vertical and competitive agreements. She has advised on agreements and practices affecting parallel imports within the European Community and was involved in a successful appeal concerning these issues to the European Court of First Instance.
Ms. Vandenborre also advises on Article 102 (formerly 82) enforcement issues both at the EU and Member State level, and has presented EU antitrust compliance programs for several multinational companies.
Ms. Vandenborre is a graduate of the Catholic University of Leuven in Belgium and did part of her law studies at Duke University School of Law. She holds an LL.M. degree from the University of Chicago Law School, is an alumna of the Belgian American Educational Foundation, and is a member of the Brussels and New York bars.
