Jay M. Goffman is co-head of Skadden’s Global Corporate Restructuring Group. Over the course of his career, Mr. Goffman has represented numerous public and private corporations in out-of-court restructurings, prepackaged and prearranged Chapter 11 cases, and traditional Chapter 11 cases for U.S. and international companies. He also has represented financial institutions, creditor committees, bank groups, bondholders, equity holders, investment funds and investors in all types of distressed investments. Mr. Goffman has advised on restructurings across a wide variety of industries, including, among others, airline, computer, entertainment, finance, food service, home building, manufacturing, oil and gas, real estate, retail and telecommunications. He is well known for leading quick, efficient and cost-effective restructurings. Mr. Goffman was a pioneer in the use of prepackaged and prearranged restructurings and is widely regarded as one of the leaders in the field. He has led many of the landmark prepacks, including the “one-day prepack” for Blue Bird Bus Corporation, which rewrote the way prepacks are done and set a new standard for prepackaged restructurings. In addition, he advises officers and directors of public companies involved in debt restructurings on matters related to corporate governance and fiduciary duty, represents private equity clients with respect to distressed merger and acquisition opportunities and provides broad-based general advice to certain companies.

In addition, many of Mr. Goffman’s restructurings have been honored including the out-of-court recapitalization/exchange offer/tender offer of Ion Media Corp., the owner and operator of the largest broadcast television station group in the United States, which received M&A Advisor’s “2008 Refinancing of the Year Award” and “2008 Media, Telecom & Technology Turnaround Deal of the Year Award.” He also led the out-of-court restructuring of Centro Properties Group, which received the “2009 M&A Advisors Cross Borders Deal of the Year Award” and the “2009 Turnaround Atlas Award for Out of Court Restructuring of the Year”; and the out-of-court restructuring of Intrawest, which won the “2009 M&A Advisors Award for Out-of-Court Reorganization of the Year” and the “2009 M&A Advisors Real Estate Restructuring of the Year Award.”
Mr. Goffman frequently lectures and writes on a variety of restructuring topics, including prepacks, mergers and acquisitions in distressed situations, distressed investing, fiduciary duties of board of directors, “zone of insolvency” issues, confirmation issues, mass tort issues and general and basic bankruptcy analysis. He also assisted the National Bankruptcy Review Commission with respect to legislative amendments regarding prepacks and co-chaired a committee of premier restructuring lawyers addressing potential bankruptcy legislation leading to certain bankruptcy amendments regarding prepacks.
