Rand S. April is a real estate partner and the leader of the firm's Los Angeles office.  Mr. April's practice emphasizes acquisitions and sales, financings, restructurings, development work, hotels, leasing and partnership law.  He has considerable experience with the public and private offering of various types of real estate securities, including real estate investment trust (REIT) and securitized debt offerings.  For example, Mr. April has represented:

  • Apartment Investment & Management Company (AIMCO) in most aspects of its operations as a publicly traded REIT, including the acquisition and financing of numerous apartment projects;

  • Apollo Advisors, L.P. in its acquisition of interests in the Clift Hotel in San Francisco;

  • Alexandria Real Estate Equities, Inc. in the acquisition and financing of numerous biotech facilities and in its initial public offering as a REIT;

  • André Balazs in the structuring of debt and equity interests in the Chateau Marmont Hotel in Los Angeles and in the acquisition and development of the Standard Hotels on Sunset Boulevard and in downtown Los Angeles;

  • Fujita Corporation USA in the sale of various assets (including the Miramar Hotel in Santa Monica and a portfolio of industrial properties aggregating more than 2,500,000 square feet);

  • HEI Hospitality LLC in the development of a W Hotel and condominium project in Hollywood;

  • Jones Lang LaSalle Americas, Inc. in connection with restructuring the debt encumbering Wilshire Courtyard, a 1,000,000-square-foot office complex in Los Angeles;

  • Lehman Brothers Inc. affiliates in the sale of various assets (including the Grand Hyatt Union Square Hotel in San Francisco and the Radisson Hotel in Manhattan Beach) and in restructurings involving numerous apartment projects (including the Warner Center Apartments in Woodland Hills and the Hillcreste Apartments in Los Angeles);

  • Maguire Properties in the conveyance of interests in a portfolio of six major office properties;

  • Merrill Lynch & Co., Inc. as underwriter in various initial public offerings, secondary offerings and securitized financings, including the IPOs of Essex Property Trust, Inc., CB Commercial and Westfield America Trust;

  • MSD Capital, L.P. (the investment arm of Michael S. Dell) in the acquisition and development of various assets, including the Miramar Hotel in Santa Monica;

  • Morgans Hotel Group in the restructuring of its ownership interests in the Clift Hotel in San Francisco;

  • Motion Picture Association of America in connection with its headquarters lease in Encino, California;

  • Arnold Schwarzenegger in various real estate investments;

  • Sumitomo Trust and Banking Co., Ltd. in numerous debt restructurings, including a workout of its loan on the Rodeo Collection, an 80,000-square-foot retail mall on Rodeo Drive in Beverly Hills;

  • Gary Tharaldson in the sale of a portfolio of 140 hotel properties; and

  • Westfield Corporation affiliates in (a) the acquisition of interests in Garden State Plaza, a 2,000,000-square-foot shopping center in Paramus, New Jersey; (b) various aspects of the acquisition of the CenterMark and Urban portfolios of shopping centers; (c) the establishment of joint ventures with major institutional investors; (d) the privatization of Westfield America; and (e) the development of a 1,000,000-square-foot mixed-use project involving San Francisco's historic Emporium department store.
