Jeffrey H. Cohen is the leader of the Corporate Group in Skadden’s Los Angeles office. He has a broad corporate and securities law practice that focuses on private equity, mergers and acquisitions, public and private financings, corporate restructurings and corporate governance matters. Much of Mr. Cohen’s practice involves the representation of private equity funds and their portfolio companies, often in a full investment cycle, including acquisitions, financings and dispositions.

Mr. Cohen has represented both buyers and sellers in numerous mergers and acquisitions including:

  • Oakley, Inc. in its acquisition by Luxottica Group S.p.A (Italy);

  • the negotiation committee of the board of directors of Educate, Inc. in a going-private transaction;

  • Elgar Holdings, Inc. in the sale of the company to Xantrex Technology Inc.;

  • Oaktree Capital Management, LLC and MTS Health Investors in their acquisition of a controlling interest in Alliance Imaging, Inc. from affiliates of Kohlberg Kravis Roberts & Co.;

  • Oaktree Capital Management, LLC and GFI Energy Ventures, LLC in the acquisitions of Snelson Companies, Inc., Elgar Electronics Corporation and InfraSource Incorporated and in the acquisition and sale of UtiliQuest Holdings Corp.;

  • Crimson SV, LLC in the acquisition of Tyden Group, Inc.;

  • American Apparel Inc. in the sale of the company to a special purpose acquisition company;

  • The News Corporation Limited and Fox Entertainment Group, Inc. in the purchase and subsequent sale of the Los Angeles Dodgers and investments in other sports assets, including the Staples Center;

  • Apollo Management, L.P. in the acquisitions of General Nutrition Centers, Inc. and the K-12 education business of Sylvan Learning Systems, Inc.;

  • Bristol Farms in the sale of the company; and

  • Zacky Farms, LLC in the sale of its chicken business.

Mr. Cohen recently has been representing New Cotai Holdings, LLC (a joint venture including funds managed by Silver Point Capital and Oaktree Capital Management) and its affiliates in their investment in, and a casino services agreement related to, the Macau Studio City Project.

Mr. Cohen has handled numerous public offerings, including representing United Online, Inc. and Classmates Media Corporation in the proposed initial public offering by Classmates Media Corporation; and private equity portfolio companies Educate, Inc.; InfraSource Services, Inc.; and Cherokee International Corporation in their initial public offerings and subsequent public offerings. He also has been involved with public offerings by Fox Entertainment Group, Inc.; Guess?, Inc.; Metro-Goldwyn-Mayer Inc.; Oakley, Inc.; Occidental Petroleum Corporation; Public Storage, Inc.; and The Walt Disney Company.

Mr. Cohen has represented issuers and investors in a variety of corporate restructurings, including Pierre Foods, Inc.; Elgar Holdings, Inc.; National Mobile Television, Inc.; Color Spot Nurseries, Inc.; and Cherokee International Corporation. Mr. Cohen also regularly counsels officers and directors on corporate governance matters.

Mr. Cohen was recently profiled in the Los Angeles Daily Journal in a cover story documenting Skadden’s success in building a substantial corporate practice in Los Angeles. In addition, he has been recognized as a “leading lawyer” by Chambers USA: America’s Leading Lawyers for Business and consistently included in The Best Lawyers in America.
