Henry P. Wasserstein’s wide-ranging litigation practice includes mergers and acquisitions, internal corporate disputes, SEC insider trading investigations, securities claims, Tax Court proceedings, actions involving directors’ fiduciary responsibility and accountants’ liability, indemnity claims and contract disputes.
Mr. Wasserstein has represented:
- Warnaco Group, Inc. and certain of its directors in class action and derivative litigation arising out of Warnaco’s merger with Authentic Fitness Corp.;
- the independent directors of Pier 1 Imports, Inc. in a Special Committee investigation and class action litigation regarding securities trading losses sustained by Pier 1;
- The Metropolitan Life Insurance Company in its merger with New England Mutual Life Insurance Company; and
- Norfolk Southern Railway Company in a lawsuit against Flexi-Van Leasing arising out of an indemnification claim for tax benefits.
He also served as litigation counsel to Danaher Corporation in its tender offer for Acme-Cleveland Corporation, defended the directors of Checkers Drive-In Restaurants, Inc. in class action securities litigation charging Checkers and its directors with having issued misleading financial statements, and defended Warnaco Group, Inc. and subsidiaries in litigation brought by Speedo International Limited asserting breach of contract and trademark infringement claims.
Mr. Wasserstein also has represented:
- Sony Corporation in class action securities litigation arising out of the acquisition by Sony of Columbia Pictures Entertainment, Inc.;
- certain members of the Scheuer family who sought to remove for misconduct directors of the S.H. and Helen R. Scheuer Family Foundation, Inc.;
- certain independent directors of Neutrogena Corporation in a dispute between two other directors;
- several clients before United States Tax Court in proceedings in which the clients sought redetermination of tax deficiencies;
- The Great Atlantic & Pacific Tea Company in its acquisition of Borman’s Inc.; and
- the special committee of the board of directors of Fort Howard Corporation and the special committee of Restaurant Associates Industries, Inc. in connection with the respective leveraged buyouts of those companies.
Mr. Wasserstein has written and lectured on class action judgments, defenses, dismissals and discontinuances in New York State class actions, has lectured on insider trading and on current issues in securities and corporate litigation and served as an instructor at the Internal Revenue Service Advanced Trial Advocacy Seminars.
