Bruce Buck has been practicing law in Europe since 1983. As the partner in charge of Skadden’s European offices, his work includes a broad range of mergers, acquisitions and capital markets transactions, including IPOs and high-yield transactions. Mr. Buck has been involved in work in Central and Eastern Europe, and particularly in Russia, since 1990. He has been directly overseeing the firm’s Russian practice since the opening of the Moscow office in 1992. Mr. Buck also is the chairman and a director of Chelsea FC plc.
Mr. Buck’s mergers and acquisitions practice has involved some of the highest profile transactions involving Russian companies. His initial work in Russia involved a joint venture between a U.K. company and a Russian government-owned company to provide heavy cargo lift using the Antonov 124 aircraft, which provided services to allied forces during the Gulf War.
Mr. Buck’s M&A experience also has included advising Altimo Holdings & Investments Ltd. in the US$30 billion merger of Open Joint Stock Company Vimpel-Communications and Kyivstar G.S.M. by their parent companies, Altimo and Telenor ASA; and the controlling shareholders of Sibneft in the US$13.1 billion sale of a 72 percent stake in Sibneft to OAO Gazprom. He also represented Evraz Group S.A. in its US$2.2 billion acquisition of Lanebrook Ltd.; and a private equity firm in its acquisition of an indirect 41 percent interest in Evraz Group S.A. In addition, he worked on the 2003 merger of Yukos and Sibneft, and the negotiation of related shareholder arrangements; and in the acquisition of Chelsea Football Club by an investment vehicle for Roman Abramovich.
In the capital markets area, Mr. Buck’s experience includes representing the joint global coordinators on the IPO of New World Resources N.V. raising €1.4 billion listing on the London, Prague and Warsaw stock exchanges; OJSC Pharmstandard in its US$1 billion IPO of shares and GDRs; and the joint global coordinators, joint bookrunners and joint lead managers and co-managers in the US$1 billion IPO of GDRs and shares by OJSC Magnitogorsk Iron & Steel Works (MMK). He also advised RAZGULAY Group OJSC with the U.K. and U.S. aspects of its US$144 million IPO; Trader Media East Limited in its US$565 million IPO and listing on the London Stock Exchange; OAO Novatek in its US$966 million IPO and Rule 144A listing on the London Stock Exchange; and OAO Cherkizovo Group in its US$250 million IPO and listing on the London Stock Exchange.
In addition, Mr. Buck advised the joint dealer managers in connection with a €32 million (US$48 million) modified Dutch auction for the 7.375% senior notes due 2015 of New World Resources N.V.; and Evraz Group S.A. in its US$650 million offering of 7.25% convertible bonds due 2014 and in a concurrent US$315 million offering of shares and global depositary receipts.
In 2012, Mr. Buck was named to the Times of London’s list of the U.K.’s most influential lawyers. He also was named one of the two most high-profile lawyers in the U.K. by The Lawyer in 2009.
