Corina Davis has significant experience representing borrowers, lenders and investors in a wide range of complex financings, including leveraged facilities, acquisition and recapitalization financings, letter of credit facilities and asset-based facilities. She has advised clients in connection with DIP financings, exit financings and corporate restructurings.

Significant representations include:

  • Barclays Bank PLC in a $1.45 billion DIP credit facility for Residential Capital, LLC, in connection with ResCap’s Chapter 11 bankruptcy filing. This transaction was recognized in the Financial Times’ 2012 “US Innovative Lawyers” report and also was named the 2012 “Financing Deal of the Year” by M&A Advisor;
  • CIT Group Inc. in connection with a $3 billion senior secured rescue financing and $4.5 billion senior secured expansion facility as well as other financings related to its prepackaged Chapter 11 reorganization in the U.S. Bankruptcy Court for the Southern District of New York. CIT emerged from bankruptcy only 40 days after filing, reducing its debt by $10.5 billion;
  • US Airways in a variety of secured loans, aircraft financings and other transactions, including in its mutual asset purchase agreement with Delta involving the purchase and sale of gate slots at New York and Washington, D.C. airports;
  • the official committee of unsecured creditors of American Airlines as the primary aircraft finance attorney in connection with the restructuring of American’s airline fleet;
  • Chicago Mercantile Exchange in a $3 billion credit facility;
  • Freescale Semiconductor in various financing transactions, including $800 million and $596.7 million term loan financings with Citibank;
  • Florida East Coast Industries and Florida East Coast Holdings Corp. in connection with a $1.1 billion senior note offering;
  • Intrawest ULC in its $650 million of first- and second-lien credit facilities;
  • Ecolab Inc. in a $450 million multicurrency credit facility and a €300 million private placement; and
  • Vertis Holdings, Inc. in its prepackaged Chapter 11 case and subsequent $600 million exit financings.

Ms. Davis specializes in aircraft finance, including sale-leasebacks, aircraft purchases and sales, cross-border and domestic operating leases, and leveraged lease transactions. She also dedicates significant amounts of pro bono time to assisting local animal shelters and rescue groups.
