Rick Ely is co-head of Skadden’s Corporate Finance Group in Europe. He has been practicing U.S. law in Europe since 1992, advising on a wide range of major transactions involving corporate, governmental and financial institution clients. These include securities offerings, privatizations, mergers and acquisitions and restructurings.
Mr. Ely represents both corporate and governmental issuers and underwriters in the public offering and private placement of equity and debt securities in Europe and the United States, including offerings registered with the SEC and placements under Rule 144A and Regulation S. He has advised on listings on the New York Stock Exchange, the NASDAQ Stock Market and most of the major European stock exchanges. He also has advised on offerings of high-yield debt securities by issuers in the United Kingdom, The Netherlands, Sweden, Spain, France, Germany, Italy and Poland, as well as on numerous successful restructurings and debt repurchases by high-yield and other corporate issuers.
In addition, Mr. Ely advises on a range of other corporate matters, including unsolicited takeovers, negotiated acquisitions and dispositions, and spin-offs of major subsidiaries and operating divisions. He also assists a number of European corporate and governmental clients in their ongoing compliance with U.S. securities law and listing requirements.
