Ryan Adams focuses his practice on securities regulation, corporate transactions, mergers and acquisitions, the federal proxy rules and corporate governance matters, counseling a wide variety of clients on issues relating to the federal securities laws.

Bio

Prior to joining Skadden, Mr. Adams was an attorney in the U.S. Securities and Exchange Commission’s Division of Corporation Finance, serving in the division’s Office of Chief Counsel and in Disclosure Operations. While working in the Office of Chief Counsel, he advised on a variety of issues arising under the Securities Act of 1933 and the Securities Exchange Act of 1934, and assisted with no-action letters. Mr. Adams also served as a member of the division’s Rule 14a-8 Shareholder Proposal Taskforce, including as a co-manager.

Mr. Adams also worked in the division’s Office of Transportation and Leisure, where he assisted with the comment letter process on numerous transactions, including IPO and business combination registration statements, proxy and information statements, periodic and current reports, and confidential treatment requests.

Mr. Adams is a frequent speaker on securities law matters and corporate governance. In addition, he is the co-author of “E-Proxy, Electronic Communications, and Voting,” a treatise chapter published by Wolters Kluwer. In recognition of his work, Mr. Adams was named one of Best Lawyers’ 2024 Ones To Watch in America.
