Bruce Embley has extensive experience in mergers and acquisitions, including in private equity and public M&A.

Bio

Mr. Embley has advised on numerous high-profile and complex M&A transactions, for which he has a demonstrable track record of delivering successful outcomes.

Mr. Embley’s practice focuses on a wide range of clients, including international corporations and financial sponsors. Prior to joining Skadden, Mr. Embley advised on AB InBev’s US$103 billion combination with SABMiller, which was the largest-ever cash offer worldwide and the largest U.K. M&A deal; the first U.S./U.K. dual-listed company merger; the first public takeover in the United Arab Emirates; and the largest announced M&A transaction in Africa.

Mr. Embley’s recent representations since joining Skadden include advising:

  • International Paper on its initially unsolicited, but subsequently agreed upon, competitive takeover of DS Smith plc, at an enterprise value of £7.8 billion
  • Permira on (i) the partial sale of Alter Domus Group to Cinven, at an enterprise value of €4.9 billion (US$5.3 billion) and (ii) the sale, alongside Berkshire Partners, of a majority stake in Teraco Data Environments (Africa’s largest carrier-neutral data center, colocation and interconnection solutions provider) to Digital Realty Trust, Inc. at an enterprise value of US$3.5 billion
  • Agroberries (a company invested in by Continental Grain Company) on its investment in BerryWorld’s EMEA and Asia-Pacific businesses
  • Refresco Group B.V., a leading independent beverage solutions provider, on the sale of a majority stake in the business to KKR
  • the shareholders of MiQ, including the founders of the company and ECI Partners, in the sale of a majority interest in the company to funds advised by Bridgepoint
  • Mobile Telephone Networks Proprietary Limited in the US$410 million sale and leaseback of its telecommunication towers portfolio in South Africa to IHS Holding Limited
  • DSV Panalpina A/S in its US$4.2 billion acquisition of the global integrated logistics business of Agility Public Warehousing Company K.S.C.P.
