Justin G. Askew's practice focuses primarily on mergers, acquisitions and other transactions involving public and private investment management firms, broker-dealers and related businesses.


Mr. Askew has represented clients in many significant U.S. and cross-border transactions, including:

  • Tennenbaum Capital Partners in its pending acquisition by BlackRock;
  • BlackRock in its pending acquisition of Citigroup’s Mexican asset management business;
  • E*TRADE in its acquisitions of OptionsHouse, Trust Company of America and the online brokerage business of Capital One;
  • American Beacon Advisors in its acquisition of interests in Shapiro Capital Management, ARK Investment Management and AlphaQuant Advisors;
  • Janus Capital Group in its merger-of-equals with Henderson Group;
  • First Eagle Investment Management in its acquisition by funds affiliated with Blackstone and Corsair Capital;
  • BlackRock in its acquisition of Infraestructura Institucional;
  • Russell Investments in its acquisition by the London Stock Exchange Group for $2.7 billion;
  • BlackRock in its acquisition of BlackRock Kelso Capital Advisors;
  • the management team of River Road Asset Management, LLC in its acquisition by Affiliated Managers Group Inc. from Aviva Investors North America Holdings Inc.;
  • Société Générale in the sale of The TCW Group to funds affiliated with the Carlyle Group;
  • Asset Management Finance Corporation (a subsidiary of Credit Suisse AG) in the acquisition of minority interests in various asset management firms;
  • National Australia Bank in its acquisition of an interest in Altrinsic Global Advisors;
  • Citigroup Inc. in the sale of the CAI hedge fund management group to SkyBridge Capital;
  • The TCW Group and Société Générale in the acquisition of Metropolitan West Asset Management;
  • Fortress Investment Group in connection with its becoming the manager of the D.B. Zwirn group of hedge funds;
  • Rydex Holdings in the sale of Rydex Investments to Security Benefit Life;
  • Crestview Capital Partners in its acquisition of Munder Capital Management;
  • Citigroup Inc. in the sale of its asset management business to Legg Mason Inc. and the acquisition of Legg Mason Wood Walker Inc. from Legg Mason Inc.;
  • Prudential Financial Inc. in its acquisition of Hyundai’s retail funds group based in Seoul, Korea; and
  • Putnam Investments LLC with respect to its interest in Thomas H. Lee Partners, L.P. and affiliates.

Mr. Askew’s practice frequently includes the structuring of complex incentive compensation and equity ownership arrangements for principals of investment management firms.

Prior to joining Skadden in 2002, Mr. Askew was a vice president in the Investment Banking Department of Lehman Brothers, where he worked on a number of significant transactions, including Société Générale’s acquisition of TCW and New York Life’s acquisition of McMorgan & Company.
