Alejandro González Lazzeri concentrates in corporate and cross-border financing transactions, particularly throughout Latin America, including the representation of investment banks, commercial banks and other financial institutions, as lenders; and strategic investors and corporations, as borrowers, in connection with syndicated loans, acquisition financings, leveraged buyouts, bridge loans, asset-based loans, project financings and private placements. Mr. González Lazzeri’s experience also includes the representation of underwriters and issuers in a variety of public and private offerings in the capital markets.

Mr. González Lazzeri’s transactions include the representation of: 

  • Americas Mining Corporation, a subsidiary of Grupo México, S.A.B. de C.V., in a US$2.1 billion senior secured credit facility;
  • Grupo Bimbo, S.A.B. de C.V., one of the largest baked goods companies in the world and one of the largest food companies in the Americas in a US$1.3 billion senior credit facility to finance the acquisition of the U.S. fresh bakery business of Sara Lee Corporation; a US$800 million investment grade debt offering of 4.875% notes due 2020; a US$800 million investment grade debt offering of 4.50% notes due 2022; a US$1.5 billion senior revolving credit facility; and a euro-denominated credit facility to finance its acquisition of Sara Lee Corporation’s fresh bakery business in Spain and Portugal; 
  • Merrill Lynch, Pierce, Fenner & Smith Incorporated; Corporación Financiera Colombiana S.A.; and Banco Bogotá S.A., as joint lead arrangers and joint bookrunners of a US$700 million dual-currency senior revolving credit facility to Pacific Rubiales Energy Corporation;
  • Bank of America Merrill Lynch and JPMorgan Chase Bank, N.A. in the financing to IFH Pharma Corp., an affiliate of Intergroup, for the acquisition of Inkafarma, a leading pharmaceutical retail chain in Peru; 
  • Southern Copper Corporation, one of the largest integrated copper producers in the world with operations in Mexico, Peru and Chile, in its US$1.5 billion investment grade debt offering of 5.375% notes due 2020 and 6.750% notes due 2040; 
  • Cementos Argos in the financing for the acquisition of Lafarge’s operations in the Southeastern United States; 
  • Bank of America, N.A. as global coordinator and joint bookrunner of a US$250 million revolving credit facility to Pacific Rubiales Energy Corporation; 
  • Banco BTG Pactual S.A. as sole lead arranger in a mezzanine financing for the proposed acquisition by a Latin American conglomerate of the pension and insurance business of ING in Latin America; 
  • J.P. Morgan Chase Bank, N.A. as lender in a US$1 billion credit facility to América Móvil, S.A.B. de C.V., one of the largest mobile network operators in the world; and a credit facility to Braskem, the largest petrochemical in the Americas by production capacity; 
  • The Bank of Tokyo-Mitsubishi UFJ, Ltd. and J.P. Morgan Chase Bank, N.A. as lead arrangers of a syndicated facility to Yura S.A., a leading cement producer in Peru; 
  • Credit Suisse in a sovereign financing to the Province of Mendoza, Argentina; a letter of credit facility to Arcos Dorados B.V., the largest restaurant company in Latin America, owner of the license to operate McDonald’s restaurants in the region; an export receivables financing to Atanor S.C.A., an agrochemical producer in Argentina; a project financing transaction with Envases del Plata S.A., a producer of aluminum cans in Argentina, Brazil and Mexico; a secured acquisition financing transaction with Grupo LIPU, S.A. de C.V., a leading ground transportation company in Mexico; a secured financing transaction for Generación Mediterránea S.A., for the expansion of its thermal generation plant in Río Cuarto, Argentina; a project financing to Patagonia Bioenergía S.A. for the construction and development of a biodiesel production plant in Argentina; and a secured financing to Central Témica Roca S.A. for the construction and development of a power generation plant in Río Negro, Argentina; 
  • Credit Suisse Securities (USA) LLC and Santander Investment Securities Inc., as joint lead managers of a US$175 million debt offering of 9% notes due 2017 by Corporación Pesquera Inca S.A.C., one of the largest fishmeal and fish oil producers in Peru; 
  • ABN AMRO Bank N.V. in a financing to Carvajal, one of the largest paper producers in Colombia; 
  • ABN AMRO Bank N.V., BBVA Securities Inc., Citigroup Global Markets Inc., Banco Itaú Europa S.A. – Sucursal Financeira Exterior, Santander Investment Securities Inc. and Banchile Asesoría Financiera S.A. in the refinancing of US$400 million of existing indebtedness of Colbún S.A.; 
  • ABN AMRO, N.V. and Standard Bank Plc. in secured letter of credit facilities for Pampa Energía S.A., for the expansion of its thermal generation plant in Loma de la Lata, Argentina; 
  • J.P. Morgan Securities Inc., in a US$475 million senior secured export facility to finance the acquisition by Magnesita Refratarios S.A. of LWB Refractories and its subsidiaries; and 
  • Entretenimiento GM de México, S.A. de C.V., in its acquisition of Grupo Cinemex, S.A. de C.V. and its subsidiaries from AMC Entertainment.

Prior to joining Skadden, Mr. González Lazzeri worked on a number of landmark transactions in Mexico, including the representation of Corporación Scribe, S.A.P.I. de C.V., in its acquisition of a line of business from Kimberly-Clark de México, S.A.B. de C.V.; Aeroinvest, S.A. de C.V. in its acquisition of Grupo Areoportuario del Centro Norte, S.A. de C.V.; and Cemex México, S.A. de C.V., in its negotiations with Acciona Energía, S.A., in connection with the construction and development of a 250 MW wind-farm project in Mexico.
