Rotem Bar-Kokhva advises private and public multinational clients on a variety of tax matters in a wide range of transactions, focusing on domestic and cross-border mergers, acquisitions, dispositions and restructuring transactions, IPOs, and other public offerings and private placements of securities, in both the United States and in foreign markets. He also advises on real estate acquisitions and sales, joint ventures, recapitalizations, workouts and development projects, and tax planning for private equity and hedge fund clients.

  • Anixter International Inc. in its acquisition of the Power Solutions segment of HD Supply, Inc.;
  • Castle Harlan, Inc. in its acquisition of Tensar Corp.;
  • Reinsurance Group of America, Incorporated in MetLife, Inc.’s divestiture of a 52 percent stake in Reinsurance Group via a tax-free spin-off;
  • a consortium of lenders consisting of Luminus Management, LLC, Wayzata Investment Partners LLC, Silver Point Capital L.P., Highland Capital Management, L.P. and The TCW Group, Inc., in connection with the bankruptcy reorganization of Entegra Power Group LLC;
  • Bentley Pharmaceuticals in its spin-off of CPEX, Inc. and in the sale of Bentley to Teva Pharmaceutical Industries Ltd.;
  • Silverstein Properties in the development of the Four Seasons New York hotel and private residences at 30 Park Place, and the financing and single-asset securitization of 120 Broadway; and
  • Deutsche Bank AG in connection with the foreclosure, development and sale of The Cosmopolitan of Las Vegas hotel and casino.
