Daniel W. J. Becker

Bio

Daniel Becker represents a broad spectrum of U.S. and international clients in a wide variety of complex corporate, commercial and securities litigations in federal and state courts, and in U.S. and international arbitration and enforcement proceedings.

Mr. Becker has represented corporations and individuals in a variety of industries and business sectors, including financial services, health care, manufacturing and technology. He has defended clients in various types of litigation, including securities fraud class actions, RICO, contract and tort litigation, and shareholder derivative litigation. Mr. Becker also has advised clients in regulatory and internal investigations, including enforcement matters before the United States Department of Justice and the Securities and Exchange Commission. He has assisted corporate boards and committees in conducting internal investigations relating to accounting, financial, employment and other matters.

Representative matters include:

  • an international health care company in an ongoing cross-border SEC and DOJ FCPA investigation;
  • a major financial institution in the defense against various breach of contract claims brought in state court by a state pension fund in connection with the private placement of preferred securities;
  • JPMorgan Chase & Co. Inc. in securing the complete dismissal of a putative class action relating to foreign exchange pricing;
  • a Canadian financial institution in a FINRA arbitration arising out of alleged losses on auction-rate securities;
  • directors of Toll Brothers, Inc. in a shareholder derivative action seeking disgorgement of profits from the sale of stock;
  • SHFL Entertainment in multidistrict putative class action and derivative litigation following SHFL’s $1.3 billion merger announcement with Bally Technologies;
  • former officers of Fremont General Corporation, formerly one of the nation’s largest subprime lenders, in the appeal of the dismissal of securities fraud claims arising from its collapse;
  • Anglo-Irish Bank in a complete arbitration victory against Peninsula Real Estate Fund I GP, stemming from a real estate development partnership the bank funded; and
  • Christie’s Inc. in securing the complete dismissal of RICO and other claims by William I. Koch alleging Christie’s made false claims about the authenticity of counterfeit wine that supposedly belonged to Thomas Jefferson.

Mr. Becker currently serves as pro bono counsel to the Duke University School of Law Wrongful Convictions Clinic in connection with a North Carolina prisoner’s claim of actual innocence.
