Michelle Bosworth represents companies and their boards, audit committees, officers, directors and employees in criminal and civil investigations before the U.S. Securities and Exchange Commission, the U.S. Department of Justice and other enforcement agencies, as well as in complex litigation. Ms. Bosworth also has conducted internal investigations on behalf of companies and their boards and audit committees. These representations have involved improper accounting, disclosure, fraud, bribery and anti-corruption compliance, money laundering, discovery and other issues.

In addition, Ms. Bosworth regularly advises clients on anti-corruption compliance issues and assists companies in implementing and structuring anti-corruption compliance programs and training and conducting internal investigations.

A selection of Ms. Bosworth’s matters have included the following representations:

  • conducting an internal investigation on behalf of a public company involving accounting and disclosure allegations raised by a potential whistleblower;
  • representing a former top executive of a global company in parallel investigations by the U.S. Securities and Exchange Commission and the U.S. Department of Justice of potential violations of the U.S. Foreign Corrupt Practices Act:
  • managing the discovery process for a bank and another company in complex securities class actions;
  • advising numerous companies in the health care, oil and gas, financial services and other industries in connection with internal investigations, risk assessments, due diligence issues, and implementing and enhancing compliance programs;
  • representing a senior diplomat charged in Washington, D.C. with human trafficking;
  • assisting a Holocaust victim on a pro bono basis in successfully obtaining pension payments from the German government; and
  • representing an individual on a pro bono basis in connection with his sentence reconsideration hearing in Maryland.
