Charles E. Crandall

Bio

Charles Crandall focuses his practice on advising clients in antitrust matters relating to mergers, acquisitions and advisory matters. He has worked with clients across a diverse range of industries, including the health care, telecommunications, consumer products, environmental services and pharmaceutical industries.

Mr. Crandall has assisted in numerous matters, including the representation of:

  • Stryker Corporation in its $1.7 billion acquisition of MAKO Surgical Corp., a medical device company with a technology platform in robotic-assisted surgery;
  • Cephalon in its $6.8 billion acquisition by Teva Pharmaceutical Industries;
  • Solo Cup Company in its $1 billion acquisition by Dart Container Corporation;
  • Safety-Kleen in its $1.3 billion acquisition by Clean Harbors;
  • Genesis HealthCare in the $275 million acquisition of Sun Healthcare;
  • JLL Partners in its $2.6 billion transaction with Royal DSM, a Dutch chemicals and nutrition company, and Patheon, a leading provider of contract development and commercial manufacturing services to the global pharmaceutical industry;
  • The Warnaco Group in its acquisition by PVH Corp. in a cash-and-stock merger valuing Warnaco at approximately $2.9 billion;
  • Communications & Power Industries in its acquisition of Radant Technologies, a privately held company which designs, manufactures and tests advanced composite radomes, reflector antennas and structures for defense aerospace and naval applications, as well as commercial aerospace applications;
  • Revlon in its $660 million acquisition of The Colomer Group from CVC Capital Partners and other private investors; and
  • Ecolab in its $8.1 billion acquisition of Nalco Holding Company.

He also has been part of the teams representing Express Scripts, Novell, Jos. A. Bank Clothiers and Sprint Nextel Corporation with respect to major transactions.

In the area of general antitrust counseling, Mr. Crandall advises clients on a variety of matters, including joint ventures, competitor collaborations, unilateral conduct, and pricing and distribution issues.

Additionally, Mr. Crandall maintains a sports law practice and has advised sports leagues and teams, including the National Hockey League in aspects of the negotiation of its collective bargaining agreement.
