Marion Gauvain focuses on M&A and private equity transactions including corporate and asset acquisitions and divestitures, joint ventures and capital increases. Her experience also encompasses distressed M&A transactions and shareholders disputes.

Prior to joining Skadden in November 2015, Ms. Gauvain worked at the Paris and New York offices of another leading international law firm.

Ms. Gauvain advises private and listed companies, investment funds and government-owned institutions and has extensive experience in both domestic and cross-border transactions. Her headline representations includes advising:

  • ANF Immobilier in connection with two interrelated transactions: the proposed acquisition by Icade of Eurazeo’s 50.48 percent bloc of shares in ANF Immobilier, followed by a public tender offer; and its sale of €400 million of assets to Primonial REIM;
  • Pacific Industrial Co., Ltd. in its acquisition of the valves business of Sensata Technologies B.V. in France and in the U.S.;
  • CEVA Santé Animale in connection with its acquisition of certain assets of Merial’s animal health portfolio located in 30 jurisdictions in the context of Boehringer Ingelheim’s business swap with Sanofi;
  • French-listed company Soitec in connection with its recapitalization supported by two government-owned institutions and one Chinese investor;
  • Nokia Corporation in connection with its public tender offer on Alcatel Lucent and subsequent combination of the two groups;
  • Bpifrance in connection with its equity investment in CARMAT SA, a French-listed innovative company developing the first biocompatible artificial heart;
  • CVC Capital Partners in connection with its acquisition of beauty leader Douglas Group from Advent International;
  • Apis Partners LLP in connection with its investment in Microcred Group;
  • Swiss company Aryzta in connection with its acquisition of Picard Groupe;
  • EDF in connection with its partnership with Amundi for the creation of a joint asset management company to finance projects relating to energy transition;
  • Andrea Bonomi’s InvestIndustrial in connection with its tender offer on Club Méditerranée;
  • Brookfield in connection with the creation of its joint-venture with APMT to own and operate the second-largest container terminal in the New York/New Jersey market;
  • Angelo Gordon in connection with the negotiation of two acquisition bridge financings;
  • Technicolor in connection with its $1 billion debt refinancing;
  • Emerging Capital Partners in connection with several investments in Africa;
  • PPR (renamed Kering) in connection with the sale of a 30 percent block of shares in CFAO to Japanese conglomerate Toyota Tsusho Corporation;
  • Bridgepoint in connection with the LBO of Foncia (together with Eurazeo);
  • La Poste in connection with the entry of the Caisse des Dépôts et Consignations as equity investor; and
