Angela Gomes focuses on mergers and acquisitions and corporate finance, in addition to handling general corporate matters. She advises clients, including public companies, on a broad range of corporate and securities matters, including securities law compliance, disclosure and periodic reporting, and corporate governance matters.


Ms. Gomes’ work with corporate clients has included representations of The RMR Group LLC and its affiliates and the public and private companies to which they provide management services; Sycamore Networks, Inc.; Covidien PLC; and MassMutual Financial Group. In 2010, Ms. Gomes was also seconded to Nomura Holding America Inc., where she supported its investment banking group.

Ms. Gomes has assisted in numerous matters, including the representation of:

  • Reit Management & Research LLC in its sale of a portion of its economic interest to certain of the companies to which it provides management services by means of an “Up-C” transaction structure;
  • TravelCenters of America LLC in its $120 million public offering of senior unsecured notes and its $115 million public offering of senior unsecured notes;
  • CommonWealth REIT (n/k/a Equity Commonwealth) in its response to the unsolicited offer and subsequent consent solicitation by Related Fund Management, LLC and Corvex Management LP;
  • Sycamore Networks, Inc. in the sale of substantially all of its assets to Marlin Equity Partners and its subsequent liquidation and dissolution;
  • Merck KGaA in the $7.2 billion acquisition of Millipore Corporation;
  • Textron Inc. in the $552 million divestiture of its fluid and power product lines;
  • United Group Limited in the $400 million acquisition of UNICCO Service Company;
  • Spectrum Brands, Inc. in the exchange of $350 million principal amount outstanding of its senior subordinated notes; and
  • Sycamore Networks, Inc. in an exchange offer of employee stock options for 409A purposes.

Ms. Gomes also advises a number of nonprofit organizations on general corporate law matters, as well as state and federal tax-exempt status.

In 2017, Ms. Gomes was named as one of Massachusetts Lawyers’ Weekly’s Top Women of Law, and in 2015 she also was named as one of Ten Outstanding Young Leaders by the Greater Boston Chamber of Commerce. While attending Boston University School of Law, Ms. Gomes was an active member of the Black Law Students Association, serving as vice president and president during her second and third years, respectively. She also served as an articles editor for the Journal of Science and Technology Law. In April 2010, the Boston University School of Law Black Law Students Association awarded Ms. Gomes its Young Alumni Award in recognition of her outstanding contribution to the legal community, including the students of the BU BLSA. In April 2014, Boston University School of Law awarded Ms. Gomes its Alumni Pro Bono Award in appreciation of her commitment to pro bono work. Ms. Gomes served as president of the Massachusetts Black Lawyers Association from April 2015 to April 2016. She also serves on the board of directors of a number of nonprofit organizations.
