Thomas Kim’s practice focuses on advising private equity, hedge fund and other alternative and institutional fund managers on the structuring, establishment and marketing of investment funds, as well as associated U.K. regulatory issues. Mr. Kim’s experience also includes advising investors on private equity fund investments and secondary transactions, and on mergers and acquisitions of fund management businesses.

His recent experience includes advising:

  • a global asset manager on the corporate and regulatory aspects of the group’s Europe, Middle East and Africa (EMEA) restructuring as part of its Brexit contingency plans, as well as the establishment of a U.K. hedging and settlement centre to mitigate the group’s foreign exchange exposure across multiple jurisdictions;
  • a large U.S. asset manager in the proposed acquisition and restructuring of a private equity fund manager’s platform, and its limited partnership stakes in the underlying funds;
  • a first-time fund manager in the structuring and raising of a US$1 billion Alternative Investment Fund Managers Directive (AIFMD)-compliant private equity fund targeting European and Asian investors;
  • a sovereign wealth fund in connection with its investments in various joint ventures and private equity, real estate and infrastructure funds;
  • BlackRock Inc. in its acquisition of the European exchange-traded funds business of Credit Suisse AG;
  • BlackRock, Inc. in connection with its acquisition of MGPA, an independently managed private equity real estate investment advisory company in Asia Pacific and Europe. This transaction was named Global Deal of the Year for 2013 by PERE magazine;
  • various fund managers on the application of the AIFMD and local private placement regimes to their marketing plans; and
  • regulated firms on their change of control applications in the U.K., EMEA, Americas and Asia Pacific.

Mr. Kim has spent time on secondment at the corporate legal department of BlackRock, where he advised on BlackRock’s sale of its defined contribution platform and administration business to Aegon. He also was seconded to the compliance department of Carlson Capital, where he was responsible for coordinating the firm’s preparation for the implementation of MiFID II.

Prior to joining Skadden, Mr. Kim was a lieutenant in the Singapore Navy, during which he served as legal adviser and flag aide to a naval counter-piracy task force off Somalia.
