Dr. Jens Koenig advises management and supervisory boards on corporate issues and corporate governance matters, and represents corporations in German and cross-border matters, including multinational regulatory investigations brought by German prosecutors, German tax authorities, the U.S. Department of Justice (DOJ), the U.S. Securities and Exchange Commission (SEC) and other domestic and international regulators.
Bio
Dr. Koenig’s experience includes advising, among others:
- the supervisory board of Continental AG in an internal investigation in connection with car emissions and related corporate governance matters
- the board of directors of a Middle East-based developer and operator of power generation plants in an internal investigation into fraud, bribery and corruption allegations relating to a southeast Asia energy project
- the management board of a German financial institution on settlement agreements with former senior executives and D&O insurers
- the management board of an international automobile manufacturer on the board’s emission-related legal duties
- the supervisory board of STADA Arzneimittel AG in connection with the US$5.6 billion public tender offer by Nidda Healthcare Holding AG, a holding company controlled by funds advised by Bain Capital Private Equity, LP and Cinven Partners LLP
- the management board of a German financial institution in a post-management buyout dispute
- a foreign government in a global investigation involving corruption and money laundering allegations in connection with the purchase of military aircraft
- a foreign financial institution in a regulatory investigation into possible violations of U.S. sanctions laws
- foreign financial institutions in cross-border and U.S. tax investigations
- a supervisory board of a German financial institution in an internal investigation into certain tax-driven equity and derivative transactions around record dates, as well as in subsequent settlement negotiations with former management board members and the group’s D&O insurers
- an international automobile manufacturer in SEC and DOJ investigations into possible violations of the anti-bribery, record-keeping and internal-controls provisions of the U.S. Foreign Corrupt Practices Act
