Kristine M. Koren represents financial services firms, private funds, sovereign wealth funds, family offices and other asset managers on a variety of matters, including structuring and documenting complex equity arrangements and financing transactions, fund formation, mergers and acquisitions, compliance with securities laws and general corporate matters.


A native speaker of both Spanish and English, Ms. Koren applies her background in languages and comparative law on international and cross-border transactions.

Ms. Koren advises on the acquisition and sale of asset management businesses and the organization and restructuring of domestic and global investment management platforms. Her work in these areas encompasses formation of new asset management firms for individuals, family offices or traditional financial institutions; established private equity and hedge fund firms that require restructuring to address succession, governance or ownership issues; and management team spin-offs. In this connection, she also counsels individuals regarding their ownership and compensation arrangements.

A co-author of the leading treatise on the business and legal aspects of private funds, Ms. Koren regularly represents both sponsor and investor clients on private fund formations with diverse strategies and structures. She also provides ongoing regulatory advice to investment advisers and broker-dealers. Indicative representations in these areas include:

  • formation of a $12 billion hedge fund with structured side pockets for various real estate strategies;
  • formation of various $100 million to $500 million strategy-specific or regional funds;
  • formation of a $600 million managed account with a co-investment strategy;
  • formation of “single investor funds” and managed accounts, including a $1.5 billion managed account with a hybrid hedge and private equity strategy;
  • formation of a $5 billion hybrid hedge and private equity fund, featuring classes of hedge interests with market liquidity and classes of private equity interests with a 10-year commitment period, each with rolling admissions;
  • formation of a $100 million venture capital fund;
  • formation of a $350 million infrastructure fund with an option to convert to a listed company; and
  • advice regarding compliance with various aspects of the Dodd-Frank Act, the JOBS Act, the U.S. Investment Advisers Act, the U.S. Investment Company Act and the rules and regulations of FINRA.

In addition to her work in the asset management sectors, Ms. Koren regularly counsels multinational services firms regarding structural and operational enhancements to mitigate business enterprise risk. She also advises on cross-border merger, acquisition and joint venture transactions. In conjunction with local counsel, Ms. Koren has structured investment joint ventures throughout Asia and Latin America.
