Ben Marsh combines experience as both an investment banker and transactional attorney in advising U.S. and international issuers, underwriters, private equity sponsors and venture capital firms in a broad range of capital markets transactions.


Mr. Marsh's transactions include public and private equity, equity-linked and debt offerings; PIPEs; registered direct offerings; at-the-market offerings; rights offerings; and spin-offs, split-offs, carveouts and other restructuring transactions. He also has worked on a number of structured offerings in the real estate, specialty finance, and energy sectors. Additionally, Mr. Marsh counsels companies on a variety of other issues, including corporate governance, investor relations and stock exchange matters.

Prior to joining Skadden, Mr. Marsh spent over 10 years in the investment banking industry, most recently in the Equity Capital Markets Group at Deutsche Bank Securities Inc. Prior to his banking career, he worked in a large New York-based law firm, focusing on capital markets transactions.

Mr. Marsh has handled transactions across numerous industries, with a focus on advisory services in connection with initial public offerings. Recent representative matters include:

  • Technology: the IPOs of GreenSky, Inc., Yume, Inc., Trulia, Inc., ExactTarget, Inc., Ambarella Inc., Kayak Software Corp., Bazaarvoice Inc, LifeLock, Inc. and Boingo Wireless Inc.; and offerings by Kornit Digital Ltd.;
  • Health care and life sciences: the re-IPO of eHealth, Inc. and the IPOs of BeiGene, Ltd., Conformis Inc., ProQr Therapeutics N.V. and Vascular Biogenics Ltd., as well as other offerings by Retrophin, Inc., Amag Pharmaceuticals and Sarepta Therapeutics, Inc.;
  • Industrials: the IPOs of Atkore International Group Inc., SiteOne Landscape Supply, Inc., Ryerson Holding Corp., Metaldyne Performance Group Inc. and Constellium N.V., as well as follow-on and other offerings for a number of issuers, including Colfax Corp., Armstrong World Industries, Inc. and Trimas Corp.;
  • Financial institutions and specialty finance: the IPOs of Byline Bancorp, Inc. and Tremont Mortgage Trust; the IPO and follow-on offering of Eagle Point Credit Co Inc; a rights offering and follow-on offering by Oxford Lane Capital Corp., the IPO of Solar Senior Capital Ltd.; and offerings by TCP Capital Corp., TICC Capital Corp. and CYS Investments, Inc.;
  • Real estate and gaming: numerous transactions for Northstar Realty Finance Corp., Kennedy-Wilson Holdings, Inc. and Ramco Gershensohn Properties Trust; the IPO and other offerings of Ladder Capital Corp. and offerings by Strategic Hotels and Resorts, Inc., Armour Residential REIT, Inc., Boyd Gaming Corp. and Isle of Capri Casinos Inc.;
  • Consumer goods: the IPO of and follow-on offerings for Del Frisco’s Restaurant Group, Inc., the IPO of Amira Nature Foods Ltd. and other capital raising transactions for issuers in the food and beverage industry; and
  • Energy, natural resources and chemicals: the IPOs of Univar Inc. and Evogene Ltd., as well as transactions by Pioneer Natural Resources Co., Tallgrass Energy Partners LP, PBF Energy Inc. and NGL Energy Partners LP.
