Christopher Novak has experience representing public and private clients in a wide variety of M&A transactions and also regularly advises clients on securities law compliance, shareholder activism defense and corporate governance matters. Some of his significant representative transactions include:

  • Amulet Capital Partners, L.P. in its formation of a practice management services organization and its related private roll-up acquisitions of the non-clinical operations of three gastroenterology medical practices;
  • WeWork Companies Inc. in its:
    • $5.5 billion convertible securities investments from SoftBank Group Corp.;
    • private acquisitions of Meetup, Inc. and Conductor, Inc.; and
    • $4.4 billion Series G investment from SoftBank Group Corp. and SoftBank Vision Fund L.P.;
  • BlueFocus International Ltd. in its terminated $415 million combination of assets with, and acquisition of a controlling interest in, Cogint Inc.;
  • Fidelity & Guaranty Life in its $1.8 billion acquisition by CF Corporation, a special purpose acquisition company sponsored by Blackstone Tactical Opportunities Fund II L.P. and GSO Capital Partners LP (Blackstone’s credit platform);
  • ABP Trust in its partial cash tender offer for up to 18 million shares of common stock of Five Star Senior Living Inc.;
  • Gilead Sciences, Inc. in its up to $1.2 billion acquisition of Nimbus Apollo, Inc.;
  • Annapurna Therapeutics SAS in its $105 million reverse acquisition of publicly traded Adverum Biotechnologies, Inc.;
  • EMC Corporation in its $67 billion acquisition by Denali Holding Inc., the parent company of Dell Inc. (the largest-ever technology sector acquisition);
  • Banco BTG Pactual S.A. in its $1.7 billion acquisition of BSI SA from Assicurazioni Generali S.p.A. and subsequent sale of BSI SA to EFG International AG;
  • Almirall, S.A. in its private investment in, and structuring of an option to acquire, ThermiGen LLC;
  • Sophos Inc. in its private acquisition of Mojave Networks, Inc.;
  • NPS Pharmaceuticals Inc. in its $5.2 billion acquisition by Shire plc;
  • Select Income REIT in its $3 billion acquisition of Cole Corporate Income Trust, Inc.;
  • Vocus, Inc. in its $467 million acquisition by GTCR, LLC; and
  • CommonWealth REIT in its response to the unsolicited offer and subsequent hostile consent solicitation by Related Fund Management, LLC and Corvex Management LP.
