Lisa Ogust advises public and private companies, private equity firms and financial institutions on mergers, acquisitions, dispositions, tender and exchange offers, restructurings and securities law compliance. She also advises clients on issues of Delaware law, including corporate governance matters.

Examples of Ms. Ogust’s representations include:

  • viagogo in its $4.05 billion acquisition of StubHub from eBay;
  • Altaba Inc. in numerous transactions, including:
    • its pending plan of liquidation and dissolution;
    • its repurchase, via a self-tender offer, of 195 million shares of its common stock in exchange for cash and Alibaba Group Holding Limited American depositary shares; and
    • the sale, in two separate transactions, of its equity stake in Yahoo Japan Corporation for $6.3 billion;
  • Yahoo! Inc. in various matters, including:
    • the $4.5 billion sale of its operating business to Verizon Communications Inc. and subsequent registration as an investment company; and
    • its $3 billion Dutch auction self-tender offer for shares of its common stock;
  • funds advised by Apax Partners LP in their concurrent acquisitions of ECI Software Solutions and the North American business of Exact Group B.V.;
  • SunEdison, Inc. in its $2.5 billion sale of TerraForm Global, Inc. and a 51 percent stake in TerraForm Power, Inc. to Brookfield Asset Management Inc. in connection with SunEdison’s Chapter 11 reorganization in the U.S. Bankruptcy Court for the Southern District of New York;
  • Leerink Partners in its $340 million acquisition by Silicon Valley Bancorp;
  • Armstrong World Industries in various matters, including:
    • the sale of its European and Asian business operations to Knauf International; and
    • the spin-off of its flooring business segment, Armstrong Flooring; and
  • Amulet Capital Partners in the acquisition of SynteractHCR, a general contract research organization serving the pharmaceutical industry.

Ms. Ogust also has provided pro bono legal services to New York-based clients, including W.O.M.E.N. in America Inc., National Academy Foundation and The Movement Theatre Company.
