Guillaume Roche joined Skadden’s Paris office as European counsel in September 2015. His practice focuses on corporate transactions, including mergers and acquisitions, joint ventures and capital markets transactions.


Mr. Roche represents French and international companies, financial institutions and investors, and has extensive experience in the context of cross-border transactions. He also regularly advises listed companies and their boards on complex corporate governance issues and legal and regulatory responsibilities, including contentious shareholders meetings and directors’ duties and liabilities.

Mr. Roche’s experience prior to joining Skadden includes advising:

  • Groupe Sud Ouest in connection with the sale of Journal du Midi Libre to Groupe la Dépêche du Midi and Groupe la Montagne;
  • Iconix Brand Group in connection with one of its French distributor’s restructuring;
  • Texas Pacific Group in connection with its sale of its ownership interest in TDF;
  • Rothschild Group in connection with the reorganization of Paris Orléans (the French holding company of Rothschild Group);
  • Ivanhoé Cambridge in connection with its investment in Gecina;
  • Deezer in connection with the acquisition by Acces Industries of a controlling interest in Deezer;
  • Nexans in connection with the acquisition by Madeco of a controlling interest in Nexans;
  • Vivendi and SFR in connection with the sale of certain assets;
  • Lafarge in connection with the sale of its Asian gypsum business to Boral International;
  • Capgemini in connection with its acquisition of Prosodie;
  • GEM Global in connection with a joint investment with Eramet;
  • AIGO in connection with the purchase of Société Foncière Lyonnaise shares by Unibail-Rodamco; and
  • Carrefour in connection with the acquisition of certain assets.

Mr. Roche also has represented issuers, underwriters and controlling shareholders in a number of capital markets transactions (IPOs, securities issuances and tender offers) in France and abroad, including the IPO of CFAO and securities issuances by ArcelorMittal, Capgemini, Nexans, Technicolor, CGG and Maurel & Prom.
