Bio

Kyle T. Seifried’s practice focuses on public and private company acquisitions and divestitures, leveraged buyouts (representing private equity sponsors, companies and management groups), cross-border transactions and securities transactions. He also regularly advises clients on corporate governance and compliance matters, federal and state reporting obligations, takeover preparedness and other general corporate matters.

Mr. Seifried has advised clients on numerous significant transactions, including:

  • Google, Inc. in a variety of transactions, including its $625 million acquisition of Apigee, a software company specializing in application programming interfaces;
  • BAI Brands LLC in its $1.7 billion acquisition by Dr Pepper Snapple Group, Inc.;
  • Centene Corp. in its $6.8 billion acquisition of Health Net, Inc.;
  • Representaciones e Investigaciones Médicas S.A. de C.V. (Rimsa) in its $2.3 billion acquisition by Teva Pharmaceutical Industries Limited;
  • Danaher Corporation in its $13.8 billion acquisition of Pall Corporation;
  • Norfolk Southern Corporation in connection with an unsolicited offer and threatened proxy contest by Canadian Pacific Railway;
  • The Hershey Company in connection with a $23 billion unsolicited offer from Mondel─ôz International;
  • Permira Funds in several transactions, including the $3.5 billion sale of its portfolio company, Arysta LifeScience Limited, to Platform Specialty Products Corporation and its $2.8 billion sale of Iglo Foods Holding Ltd. to Nomad Holdings Ltd.;
  • Express Scripts, Inc. in a variety of transactions, including its $29.1 billion acquisition of Medco Health Solutions, Inc. and its $4.675 billion acquisition of WellPoint Inc.’s NextRX subsidiaries;
  • Various gaming and gaming technology transactions, including each of WMS Industries and Bally Technologies in their respective sales to Scientific Games Corporation; SHFL entertainment in its sale to Bally Technologies; and Video Game Technologies in its sale to Aristocrat Leisure;
  • Apax Partners LLP in several transactions, including its acquisition of a majority stake in Accenture LLP’s Duck Creek insurance software business;
  • Castle Harlan, Inc. in various transactions, including its acquisition of Tensar Corporation; Landis+Gyr in its $2.3 billion sale to Toshiba Corporation;
  • Marubeni Corporation in its $5.6 billion acquisition of Gavilon Group LLC;
  • News Corporation in its $6 billion acquisition of Dow Jones; and
  • Univision Communications Inc. in its $13.5 billion sale to a consortium of private equity investors.

Mr. Seifried has been selected for inclusion in Chambers USA 2017 and is involved actively in Skadden’s training and summer associate programs.
