Bio

Jeongu (Jeong) Gim focuses his practice on public company reporting, corporate governance and general corporate and securities matters. Mr. Gim regularly prepares, reviews and advises on public companies’ filings with the SEC, including current and periodic reports, earnings materials, proxy statements and other annual meeting materials (including responding to shareholder proposals), beneficial ownership reports under Sections 13(d) and 16 of the Exchange Act, registration statements, waiver requests and responses to staff comment letters, among other representations.

Mr. Gim frequently counsels companies on corporate governance matters, including public company board committee charters, corporate governance guidelines, listing requirements of the New York Stock Exchange and Nasdaq, transactions with related persons, insider trading and director independence, among other matters. In addition, he often advises companies on best practices and trends regarding ESG disclosures.

Mr. Gim maintains an active pro bono practice in immigration cases. He also serves on the steering committee of the firm’s Asian Affinity Network.
