Digital security company Macrovision has agreed to buy Gemstar-TV Guide International, the TV listings provider and publisher of TV Guide magazine, for $2.8 billion. Skadden is representing News Corp., which owns 41 percent of Gemstar-TV Guide, in the transaction, announced on Dec. 7. Skadden also represented News Corp. in its acquisition of Dow Jones in 2007.
