Warburg Pincus to Acquire Equity Stake in Primerica

Skadden is representing Citigroup and its wholly owned subsidiary, Primerica, in connection with the sale of common stock and warrants to private equity funds controlled by Warburg Pincus LLC. Warburg Pincus will acquire up to 35 percent of the voting securities and up to 45 percent of the economic equity interests of Primerica through the purchase of common stock and warrants to purchase common stock of Primerica. The matter was announced March 2.
