Enterprise Products Partners L.P. to Merge With Enterprise GP Holdings L.P.

Skadden is representing the Audit, Conflicts and Governance Committee of Enterprise Products GP, LLC, the general partner of Enterprise Products Partners L.P., in the $9 billion merger of Enterprise GP Holdings L.P. with a wholly owned subsidiary of Enterprise Products Partners L.P. through a unit-for-unit exchange. Enterprise Products Partners L.P. is the largest publicly traded energy partnership and a leading North American provider of midstream energy services to producers and consumers of natural gas, natural gas liquids, crude oil, refined products and petrochemicals. The deal was announced on Sept. 7, 2010.
