On July 28, Skadden held a webinar titled "MSRB Pay-to-Play Rules, SEC Placement Agent Restrictions." The webinar discussed the Municipal Securities Rulemaking Board's draft amendments to Rule G-37 regarding political contributions, and related amendments to Rules G-8 and G-9 regarding recordkeeping, which will take effect on August 17. Once the draft amendments, as well as Financial Industry Regulatory Authority Rules 2030 and 4580, take effect, the Securities and Exchange Commission will begin enforcing SEC Rule 206(4)-5's placement agent restrictions on an investment adviser's ability to use affiliates or third parties as placement agents. The webinar explained the major provisions of the rules and discussed strategies for compliance.
