Skadden’s annual SEC Reporting & Compliance and Corporate Governance Series began on November 13 with a webinar titled “Preparing for the Shareholder Proposal Season.” The webinar focused on essential information for companies facing a shareholder proposal, including special meeting, written consent and other governance proposals; the latest issues on board composition and related disclosures; updates on proxy advisory firms; and environmental and social (E&S) proposals and developments.
The panelists included Peter da Silva Vint, vice president, investment stewardship, at BlackRock; Michael Garland, assistant comptroller, corporate governance and responsible investment, at the Office of New York City Comptroller Scott Stringer, Bureau of Asset Management; and Skadden M&A and corporate partner Marc Gerber and counsel Hagen Ganem.
