On November 14, Skadden presented the first installment of the firm’s annual SEC Reporting & Compliance and Corporate Governance Series, a collection of seminars and webinars designed to provide practical guidance and timely insights on critical compliance and corporate governance issues. The series kicked off with “Preparing for the Shareholder Proposal Season,” a webinar focusing on essential information every company should know when facing a shareholder proposal.
Topics included SEC and proxy advisory firm updates; independent chair, written consent and other governance proposals; board qualifications and composition, and related issues; and environmental and social (E&S) proposals and developments. Speakers included Skadden M&A partner Marc Gerber and counsel Hagen Ganem, in addition to Amy Borrus, the deputy director and incoming executive director of Council of Institutional Investors, and Marc Lindsay, a senior strategist at Vanguard Group.
