Court of Chancery States That Delaware Is a 'Pro-Sandbagging' Jurisdiction

Partner Cliff Gardner and associate Peyton Carper highlight a recent Court of Chancery case that again described Delaware as a "pro-sandbagging jurisdiction," i.e., one where a buyer’s pre-closing knowledge of a breach does not prevent them from bringing a successful claim for breach of warranty.
