Linda Barrett advises public and private companies, private equity funds, senior executives and compensation committees on their most complex compensation and employee benefits matters.


Ms. Barrett represents a wide variety of clients, including public companies and private equity funds, in a range of executive compensation and employee benefits issues arising in mergers, takeovers, sales, spin-offs, initial public offerings and other corporate transactions. She also counsels employers, compensation committees, private equity funds and executives in negotiating and drafting employment and separation agreements. She advises clients with respect to designing equity-incentive (including stock options, restricted stock, RSUs and profits interests) or cash-based incentive compensation arrangements, non-qualified deferred compensation plans (Internal Revenue Code Sections 409A and 457A), golden parachute excise tax issues, health and welfare programs, and ERISA compliance issues.

She also regularly works on securities filings, such as registration statements, annual proxy statements and Form 8-Ks, as well as on all aspects of employee hires and terminations of employment. Ms. Barrett was recognized by The Legal 500 U.S. in 2018 for her work in employee benefits and executive compensation.
