Michelle Cho represents public and private companies in U.S. and cross-border transactions, including mergers, acquisitions, spin-offs and other complex strategic matters. She also advises clients with respect to corporate governance and other general corporate issues.

Ms. Cho’s select representative matters include:

  • Boston Dynamics in its $1.1 billion sale to Hyundai Motor Group
  • Western Digital Corporation in its ongoing evaluation of strategic alternatives and its $900 million convertible preferred investment from Apollo and Elliott
  • F5 Networks, Inc. in its:
    • $1 billion acquisition of Shape Security, Inc.
    • $440 million acquisition of Volterra Inc.
  • Theravance Biopharma, Inc. in the $1.5 billion sale of its TRELEGY ELLIPTA royalty interests to Royalty Pharma plc
  • ServiceNow, Inc. in its acquisition of LightStep, Inc.
  • FirstMark Horizon Acquisition Corp., a special purpose acquisition company, in its merger with Starry, Inc. at an enterprise value of $1.76 billion
  • ACE Convergence Acquisition Corp., a special purpose acquisition company, in its merger with Tempo Automation Inc. at an enterprise value of $919 million
  • Crescent Acquisition Corp., a special purpose acquisition company, in its merger with LiveVox, Inc. at an enterprise value of $840 million
  • View, Inc. in its $1.6 billion merger with CF Finance Acquisition Corp. II
  • Advantest America, Inc. in its $300 million acquisition of Essai Corporation
  • Xperi Corporation in its $3 billion merger with TiVo Corporation
