Jessica Cohen focuses on intellectual property and technology issues in a wide variety of transactions, including licensing and development agreements, outsourcing agreements, service agreements, strategic alliances, and mergers and acquisitions.

Bio

As part of Skadden’s Intellectual Property & Technology Group, Ms. Cohen counsels clients on intellectual property protection and ownership issues, technology implementation and maintenance issues, and privacy and cybersecurity issues. Ms. Cohen also advises clients on general commercial contract issues, including those arising in manufacturing and supply arrangements.

Projects on which Ms. Cohen has worked include representing:

  • Citibank, N.A. in numerous transactions, including in its sale of its worldwide prepaid cards business to an affiliate of Wirecard AG; a multiyear arrangement with HCL Technologies Ltd. for the construction and maintenance of a captive facility in India; and a multiyear $500 million deal to outsource technology infrastructure and application development services to Wipro Limited;
  • The NASDAQ OMX Group in numerous transactions, including in its acquisitions of Boardvantage, Marketwired and the eSpeed Platform; and its acquisition of the Nordic exchange operator OMX and the related multiyear global licensing of certain technology and trademarks to Borse Dubai;
  • Mars, Inc. in its acquisition of the Iams, Eukanuba and Natura pet food brands from The Procter & Gamble Company;
  • Coty, Inc. in its acquisition of the fine fragrances, color cosmetics and hair color businesses of The Procter & Gamble Company;
  • JAB Holding Company in the combination of D.E. Master Blenders 1753 and the coffee business of Mondelez International;
  • Veritas Capital in numerous transactions, including its acquisitions of the critical networks government services business from Harris Corporation; the ruggedized embedded computing boards business from General Electric Company; the capital services business segment from Chicago Bridge & Iron Company;
  • Barclays Bank plc in its multiyear outsourcing arrangement with Sungard Data Systems Inc. with respect to post-trade processing services for futures and cleared derivatives transactions;
  • The Middleby Corporation in its acquisition of numerous private companies, and in various arrangements for the licensing and development of industrial conventional and microwave oven technology, and industrial food preparation and preservation technology;
  • The Coca-Cola Company in multiyear IT and financial services arrangements relating to its Philippines bottling joint venture with Coca-Cola FEMSA, S.A.B. de C.V;
  • The McGraw-Hill Companies, Inc. in a series of HR outsourcing arrangements with various providers;
  • Dow Corning Corporation in various arrangements for the supply of silicon metal; and
  • Zynga Inc. in negotiations with Facebook regarding use of the Facebook platform.

Ms. Cohen serves as chair of the advisory board for the Center for Family Life in Sunset Park, a neighborhood-based family and social services organization dedicated to empowering the residents of Sunset Park, Brooklyn.
