Bio

Ms. Cullen regularly provides clients strategic commercial advice with regard to large-scale, multijurisdictional transactions, particularly those that have a tech, e-commerce or consumer brands focus.

  • ECP and Centrica on acquiring the Isle of Grain LNG site from National Grid, which involved securing key brand and tech licensing agreements
  • Farfetch on its global strategic partnership with Alibaba Group and Richemont, which involved complicated cross licensing and brand protection provisions and provided luxury brands with enhanced access to the China market and accelerated the digitization of the global luxury industry
  • NVIDIA on its proposed $40 billion acquisition of Arm Limited, a Cambridge-headquartered semiconductor and software design company, from SoftBank
  • a global private equity firm on the carve-out and acquisition of a European vacation rental business and related online platforms, which involved a detailed review of the material commercial contracts, advising on splitting the contracts and the papering of the broad range of transitional services to be provided
  • an institutional investor on the carve-out and acquisition of an international fintech platform, which involved advising on the transfer of and relevant structure for holding core IP
  • a large cloud-based hosting platform in relation to its compliance with the EU Copyright Directive

  • an international casino and gambling group on the carve-out and sale of the U.K. section of a major gambling and entertainment business, which involved in-depth analysis of the material commercial contracts, relevant consumer law and the core technology, including the related contracts and IP
  • a private equity firm on the sale of an entertainment technology business, which involved reviewing and advising on the future implications of complicated licensing provisions
