Bio

Matthew DeLuca advises public and private companies on mergers, acquisitions, spin-offs, reorganizations, governance and a variety of other matters. Mr. DeLuca has represented a diverse range of clients across industries in deals such as:

  • Catalent, Inc. in:
    • its $16.5 billion merger with an affiliate of Novo Holdings S/A
    • the sale of its small molecule analytical services business to Pace Analytical Life Sciences
    • the sale of its oral solid dosage formulations development and manufacturing operations to The Ardena Group
  • Endo International plc in its prearranged Chapter 11 bankruptcy in the U.S. Bankruptcy Court for the Southern District of New York
  • NCR Corporation (renamed NCR Voyix Corporation) in connection with the spin-off of its ATM-focused business into an independent, publicly traded company named NCR Atleos Corporation
  • Crane NXT, Co. and Crane Company, providers of highly engineered industrial products, in:
    • the restructuring of their holding company
    • the separation of Crane NXT, Co. into two independent, publicly traded companies through a tax-free spin-off in which Crane NXT, Co. retained its Payment & Merchandising Technologies segment and spun off its Aerospace & Electronics, Process Flow Technologies and Engineered Materials segments to its stockholders
  • Veoneer, Inc. in its $4.5 billion acquisition by Qualcomm Incorporated and SSW Partners following the termination of Veoneer’s previously announced $3.8 billion acquisition by Magna International Inc.
  • Waldencast Acquisition Corp. in connection with its business combination transaction with Obagi Cosmeceuticals and Milk Makeup
  • Hg in its sale of Mitratech to Ontario Teachers’ Pension Plan

Mr. DeLuca is actively involved in Skadden’s training, mentoring and recruiting programs, and regularly provides pro bono legal services to nonprofit organizations and individuals seeking asylum in the U.S.
