Mr. Diaz's experience covers a wide variety of transactions, including public and private acquisitions, leveraged buyouts, joint ventures and corporate restructurings. He advises across a range of industry sectors, including telecommunications, luxury goods, leisure, utilities, energy, food and beverage, financial institutions, advertising and broadcasting.
In his 25 years of practice, Mr. Diaz has advised on some of the largest and most complex M&A transactions in France, including, the creation of the Hermès family majority holding vehicle in response to LVMH’s acquisition of a significant minority stake, the offer for Club Méditerranée by Fosun and the Club Med management, the takeover of CFAO by Toyota Tsusho and the takeover of Aventis by Sanofi. In the cross-border field his experience includes the announced but aborted merger of Publicis with Omnicom and Publicis’ successful merger with Bcom3, the merger of Alcatel with Lucent, the restructuring and disposal of the La Redoute mail order business by Kering and the take-private of Ciments Français by Italcementi.
Mr. Diaz also advises many companies and their boards on complex corporate governance issues and legal and regulatory responsibilities, including contentious public meetings, disclosure, directors’ duties, and individual director liability and protection. He is often consulted by regulators on securities and corporate law aspects.
He is widely recognized in the French legal market as one of the country’s top M&A attorneys. Mr. Diaz was selected as a “Star Individual” in Corporate/M&A in France by Chambers Global 2015 and Chambers Europe 2014 ranked him in its top tier in French M&A, noting that he is “clever, business-minded, responsive and always available.” He also is recognized by Who’s Who Legal, IFLR1000, The Legal 500 EMEA and several other legal publications and directories.
Prior to joining Skadden in 2015, Mr. Diaz was an M&A partner at a leading French law firm.
