Liang Dong is an associate in Skadden’s Corporate Group. She represents issuers and underwriters in a wide variety of securities offerings, including initial public offerings and other equity offerings, as well as convertible debt and high-yield debt financings. She has worked on offerings involving U.S. and international issuers from a variety of industries, ranging from technology and life sciences to telecommunications. She also advises corporate clients with respect to corporate governance matters and securities law compliance.

Prior to joining Skadden, Ms. Dong was a capital markets attorney in the New York office of another large law firm. Matters she has handled include representing:

  • the underwriters in an offering by Crown Castle International Corp. of $500 million aggregate principal amount of senior notes;
  • DST Systems, Inc. in a secondary offering by the selling stockholders of $450 million of common stock and a concurrent repurchase of $200 million of common stock;
  • issuers in initial public offerings and listings on the New York Stock Exchange, NASDAQ and Hong Kong Stock Exchange;
  • underwriters in multiple initial public offerings by issuers in industries ranging from Internet software to industrial minerals;
  • an apparel company in multiple debt offerings totaling $2.5 billion;
  • the underwriters in a concurrent high-yield notes offering and tender offer by a REIT; and
  • the underwriters in notes offerings by a consumer goods company totaling over $1.5 billion.
