Bio
Alexander Fogg represents corporate clients and financial institutions in a variety of U.S. and international transactions, including high-yield and investment-grade debt offerings, convertible debt offerings, restructuring and liability management transactions, as well as equity transactions involving preferred and common stock. Mr. Fogg regularly advises issuers and underwriters on strategy relating to public disclosure obligations and governance matters.
Recent representations include:
- New Fortress Energy Inc. in various transactions, including a $3 billion comprehensive refinancing, consisting of a public offering of common stock and the private negotiation of the exchange and subscription of senior secured notes with certain of its existing bondholders
- Morgan Automotive Group in its inaugural high-yield notes offering and three subsequent notes offerings
- Ashtead Group in multiple high-yield secured notes offerings
- Acrisure Holdings in multiple secured and unsecured high-yield notes offerings, as well as its private placement of Series A and Series B preferred stock
- Viking Cruises Ltd. in various high-yield secured and unsecured notes offerings, as well as its initial public offering of common stock
- Infrastructure Investments Fund in a series of secured and unsecured bond offerings for its portfolio companies
- Intercept Pharmaceuticals, Inc. in its privately negotiated exchange of convertible senior secured notes
- Alimentation Couche-Tard in its $1 billion senior notes offering
- the initial purchasers in Venture Global LNG’s offering of senior secured notes, which was the second-largest inaugural high-yield notes offering in history at the time
- multiple clients in green bond offerings, including the initial purchasers in Rivian’s inaugural green convertible notes offering
- various clients in negotiating margin loan, capped call and call spread agreements
