Kristen Friel advises public and private corporations, as well as investment banks, commercial banks, private equity funds and financial institution investors in connection with various types of financing transactions, including investment-grade lending, acquisition financings, asset-based loan facilities, corporate recapitalizations, first- and second-lien financings, and other types of U.S. and international financings.

Examples of Ms. Friel’s representations include:

  • Elon Musk in connection with $13 billion of secured debt financing facilities related to his $44 billion acquisition of Twitter
  • NCR Voyix Corporation in connection with its spin-off of NCR Atleos Corporation and the following credit facilities:
    • NCR Voyix Corporation’s $700 million of secured debt financing facilities
    • NCR Atleos Corporation’s $700 million of secured debt financing facilities
  • Ball Corporation in connection with a refinancing of its secured credit facilities, which includes a $1.25 million USD revolving facility, $500 million multicurrency revolving facility and $1.35 million term A loan facility
  • BlackRock Capital Investment Corporation in connection with its $265 million secured revolving credit facility and its merger with BlackRock TCP Capital Corp.
  • Spirit AeroSystems Holdings, Inc. in connection with its $350 million secured delayed-draw bridge credit facility and its acquisition by The Boeing Company
  • Morgan Stanley Senior Funding, Inc. in connection with a $600 million secured term B loan facility for Starwood Property Mortgage, L.L.C.
  • Hg Capital in connection with the financings related to its acquisitions of Litera Microsystems and Intelerad
  • Royal Caribbean Cruises Ltd. in connection with multiple credit facilities and capital markets issuances
