Kate Grimm’s practice focuses on debt finance and capital solutions. With strategic insights drawn from two decades of experience, she counsels clients on liability management and other complex financing and restructuring transactions.

Bio

Ms. Grimm has broad experience advising corporate borrowers, private equity sponsors, global financial institutions and private credit lenders on leveraged and other corporate financing matters, including bespoke liability management, capital solutions and restructuring transactions, acquisition and bridge financings, and investment-grade financings.

Before joining Skadden, Ms. Grimm held senior legal positions at commercial lending platforms, advising on middle-market and widely syndicated lending transactions, giving her a distinct understanding of the commercial considerations that shape financing transactions. She also practiced at other global law firms, where she represented:

  • Goldman Sachs as agent in a $400 million revolving credit facility with Quest Software in connection with a liability management transaction involving nearly $4 billion in debt
  • the agent for the secured creditors of Liberty Communications of Puerto Rico under approximately $3 billion of preexisting credit facilities in connection with a $250 million dropdown financing transaction
  • a co-investor in Xerox’s dropdown IP financing to structure a $405 million term loan and $45 million preferred equity investment
  • Alkermes plc in $1.525 billion of term loan A and term loan B facilities in connection with its acquisition of Avadel Pharmaceuticals plc
  • Synopsys Inc. in its $35 billion acquisition of Ansys and in the sale of its Software Integrity Group business to Clearlake Capital and Francisco Partners
  • Artémis in the acquisition of a majority stake in CAA
  • Warburg Pincus in the financing for its acquisition of Redwood Software
  • Viking Global in transactions relating to its previous investment in Series B preferred shares of APi Group
  • direct lending institutions in a $2.5 billion second lien facility
  • a global investment firm in $490 million of senior secured term loans, $60 million of senior secured revolving credit commitments and $50 million of senior secured delayed draw term loan commitments
  • a real estate investment trust in a $500 million investment grade term loan facility
  • a global investment bank in a $1.5 billion investment grade revolving credit facility and $400 million investment grade term loan facility
