Bio

Darrin Halcomb represents borrowers, lenders, issuers and underwriters in connection with various types of complex financing transactions, including acquisition financings, asset-based loan facilities, leveraged loans, dividend recaps, cross-border secured credit facilities, secured note facilities, project financings, restructurings and workouts, debtor-in-possession financings and exit financings.

Significant transactions include the representation of:

  • Jefferson Gulf Coast Energy Partners LLC in a $100 million senior secured term loan credit facility;
  • Intrawest Operations Group, LLC in a $540 million senior secured credit facility and a $60 million incremental senior secured term loan;
  • Ashtead Group plc in a $2 billion asset-based loan facility and the issuance of multiple series of senior secured notes;
  • Dayco Products, LLC in a $375 million senior secured term loan facility, a $70 million incremental senior secured term loan and a $60 million asset-based loan facility, and Dayco Europe B.V. in connection with a $40 million asset-based loan facility;
  • J. C. Penney Corporation, Inc. in a $2.25 billion senior secured term loan;
  • FairPoint Communications, Inc. in a $715 million senior secured credit facility and the issuance of senior secured notes;
  • Werner International POC GmbH in a $250 million senior secured credit facility;
  • the holders of $150 million of senior secured PIK notes issued by MD America Energy Holdings, Inc.;
  • Bank of America, N.A. in a $175 million asset-based loan facility for Navistar, Inc. and a $235 million asset-based loan facility for Universal Hospital Services, Inc.;
  • JPMorgan Chase Bank, N.A. in an $800 million asset-based credit facility for Sunoco, Inc.; and
  • Credit Suisse AG in a restructuring of a senior secured credit facility for Hanley-Wood, LLC.

Mr. Halcomb also represents pro bono clients in connection with due process hearings and other matters relating to special education services for children with disabilities.

Prior to joining Skadden, Mr. Halcomb worked in the economic research and public affairs departments at the Federal Reserve Bank of Chicago.
