Britt Hamilton advises clients on a wide range of employment matters, including issues that arise as part of U.S. and multinational corporate transactions. He regularly drafts and negotiates sophisticated employment, restrictive covenant, separation and release, and settlement agreements.

Bio

Mr. Hamilton frequently counsels employers on achieving and maintaining compliance with federal, state and local laws relating to harassment, discrimination, employee and independent contractor classification, wages and hours, workplace accommodations, leaves of absence and reductions in force.

Mr. Hamilton’s experience also includes conducting internal investigations and workforce trainings, as well as advising companies and their executives on issues relating to restrictive covenant enforcement, employee discipline and discharge, workplace health and safety, whistleblowers and retaliation, immigration, government contractor obligations and wrongful discharge.

In addition, Mr. Hamilton has significant experience representing employers in federal and state courts, arbitration and mediation and before various governmental agencies in employment-related disputes, including those involving noncompetition and nonsolicitation agreements, discrimination and harassment, layoffs, plant closings and wage and hour issues. Mr. Hamilton also routinely assists companies and employers in drafting and implementing employee handbooks, policies, codes of conduct and other workplace programs and procedures.

Mr. Hamilton’s representative matters include:

  • Mars in its $35.9 billion acquisition of Kellanova
  • Air Products in its $1.81 billion sale of its liquefied natural gas business to Honeywell
  • WSP Global in its $1.78 billion acquisition of Power Engineers
  • TKO Group Holdings in its acquisition of Professional Bull Riders, On Location and IMG at a combined equity value of $3.25 billion
  • Molina Healthcare in its $350 million acquisition of ConnectiCare
  • ALDI in its sale of Southeastern Grocers, including approximately 170 Winn-Dixie and Harveys Supermarket stores, to a consortium of private investors
  • Holcim in its spin-off of Amrize, its North American business
  • Huron in its acquisition of Eclipse Insights
  • The Travel Corporation in its sale of TTC Travel Group Limited to Apollo Global
